The Services will be available at all times without interruption
The Services will be error-free or bug-free
The Services will meet your specific requirements

Scheduled and Unscheduled Maintenance:
We may perform maintenance, updates, or repairs that temporarily interrupt service availability. We will provide reasonable notice for scheduled maintenance when possible.
4.3 Third-Party Dependencies

5. SOCIAL MEDIA INTEGRATIONS

By connecting your social media accounts to Kompass:

You authorize us to access your accounts through getLate.dev
You grant us permission to post content on your behalf
You acknowledge that we will access the data permitted by your authorization

Your Responsibilities:

You are solely responsible for the authorization and permissions you grant
You must comply with each social media platform's terms of service
You must ensure you have the right to post content to connected accounts
You understand that revoked permissions may limit or break functionality

5.2 Social Media Platform Terms
Each connected social media platform has its own terms of service, policies, and restrictions:

Facebook: Subject to Facebook's Terms of Service and Community Standards
Instagram: Subject to Instagram's Terms of Use and Community Guidelines
TikTok: Subject to TikTok's Terms of Service and Community Guidelines
YouTube: Subject to YouTube's Terms of Service and Community Guidelines

Your Obligation:
You must comply with all applicable social media platform terms and policies. Violation of platform terms may result in:

Suspension or termination of your social media accounts
Removal of your content by the platforms
Disconnection of your accounts from Kompass
Legal action by social media platforms

Kompass Is Not Liable:
We are not responsible for actions taken by social media platforms, including but not limited to:

Account suspensions or bans
Content removal or restrictions
Changes to platform APIs or features
Loss of followers, engagement, or reach

5.3 Content Publishing Limitations
No Guarantee of Successful Publishing:
While we make every effort to publish content successfully, we cannot guarantee:

That all scheduled posts will publish as intended
That content will display correctly on all platforms
That platform API changes won't affect functionality
That published content won't be removed or restricted by platforms

Your Responsibility to Verify:
You are responsible for:

Verifying that content has been published successfully
Checking content appearance on each platform
Monitoring for errors or publishing failures
Manually publishing content if automated publishing fails

5.4 Revocation of Access
You may revoke Kompass's access to your social media accounts at any time through:

The social media platform's app permissions or settings

Revoking access will prevent Kompass from publishing content to those accounts and may result in loss of functionality.

6. USER CONTENT AND INTELLECTUAL PROPERTY
6.1 Your Content
""Your Content"" means any text, images, videos, audio, data, or other materials you upload, create, post, or transmit through the Services.
Your Ownership:
You retain all ownership rights to Your Content. You are solely responsible for:

The legality, accuracy, and appropriateness of Your Content
Obtaining all necessary rights, licenses, and permissions for Your Content
Ensuring Your Content does not infringe on third-party rights

6.2 License Grant to Kompass
By uploading or creating Your Content through Kompass, you grant us a worldwide, non-exclusive, royalty-free, transferable license to:

Publish Your Content to connected social media platforms on your behalf
Use Your Content to provide, maintain, and improve the Services
Make backup copies of Your Content for disaster recovery
Display Your Content within the Kompass platform

Limited Processing License:
When you use AI-powered features, you grant OpenAI a limited license to process Your Content solely for the purpose of providing AI services. This processing is governed by OpenAI's terms and policies.
No Other Use:
We will not:

Use Your Content for marketing without your explicit permission
Sell Your Content to third parties
Claim ownership of Your Content

6.3 Prohibited Content
You may not upload, post, or transmit through Kompass any content that:

Is illegal, fraudulent, or violates any law or regulation
Infringes on intellectual property rights (copyright, trademark, patent)
Contains malware, viruses, or malicious code
Is defamatory, harassing, threatening, or abusive
Promotes violence, discrimination, or hatred
Contains pornographic, obscene, or sexually explicit material
Exploits or harms minors in any way
Impersonates another person or entity
Contains private information of others without consent
Violates any social media platform's terms or policies
Is spam, unsolicited advertising, or promotional material

Consequences of Prohibited Content:
Violation of these content policies may result in:

Immediate removal of the content
Suspension or termination of your account
Reporting to law enforcement if illegal activity is suspected
Legal action to recover damages

6.4 Content Monitoring
No Obligation to Monitor:
We have no obligation to monitor Your Content but reserve the right to:

Review content for compliance with these Terms
Remove content that violates these Terms
Report illegal content to authorities
Cooperate with law enforcement investigations

Automated and Manual Review:
We may use automated systems and manual review to detect prohibited content.
6.5 Kompass Intellectual Property
All rights, title, and interest in the Services, including but not limited to:

The Kompass platform, software, and code
Kompass trademarks, logos, and branding
Kompass design, layout, and user interface
Kompass documentation and materials

are owned by Marek Lee Eberhard (trading as Kompass) and are protected by Australian and international intellectual property laws.
Limited License to Users:
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or business purposes in accordance with these Terms.
Restrictions:

Copy, modify, or create derivative works of the Services
Reverse engineer, decompile, or disassemble the Services
Remove or modify any copyright, trademark, or proprietary notices

7. PAYMENT TERMS AND SUBSCRIPTIONS

Scrape or harvest data from the Services without permission

Platform Manipulation:

Use automated systems (bots) to interact with the Services
Circumvent rate limits or usage restrictions

Create multiple accounts to evade bans or restrictions

Engage in harassment, bullying, or abusive behavior
Post misleading or false information
Violate social media platform policies

8.3 Monitoring and Enforcement

Investigate suspected violations
Suspend or terminate accounts for violations
Remove content that violates these Terms
Report illegal activities to law enforcement
Cooperate with legal investigations

No Obligation:
We have no obligation to monitor user activities but may do so at our discretion.
8.4 Consequences of Violations
Violations of this Acceptable Use Policy may result in:

Temporary suspension of account access
Permanent termination of your account

We disclaim all responsibility and liability for:

Actions or inactions of third-party service providers (getLate.dev, OpenAI, Stripe, Bubble.io)
Social media platform changes, outages, or policy enforcement
Content moderation or removal by social media platforms
Account suspensions or bans by social media platforms
API changes or deprecations
Third-party security breaches or data loss

9.3 User Content
We disclaim all responsibility and liability for:

The accuracy, legality, or appropriateness of Your Content
Infringement claims related to Your Content
Consequences of publishing Your Content on social media
How social media platforms display, moderate, or distribute Your Content

9.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
KOMPASS (INCLUDING MAREK LEE EBERHARD), ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
LOSS OF DATA OR INFORMATION
LOSS OF GOODWILL OR REPUTATION
BUSINESS INTERRUPTION
COST OF SUBSTITUTE SERVICES
LOSS OF SOCIAL MEDIA FOLLOWERS OR ENGAGEMENT
ACCOUNT SUSPENSIONS OR BANS BY SOCIAL MEDIA PLATFORMS
DAMAGE TO YOUR BRAND OR REPUTATION

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT KOMPASS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
AGGREGATE LIABILITY CAP:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOMPASS'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO KOMPASS IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR
(B) AUD $100
9.5 Australian Consumer Law
Consumer Guarantees:
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable consumer protection laws that cannot be lawfully excluded.
Limitation for Non-Consumers:
If you are not a ""consumer"" as defined under the Australian Consumer Law, then to the extent permitted by law, Kompass limits its liability for breach of any implied warranty or condition that cannot be excluded to, at Kompass's option:

Re-supply of the Services; or
Payment of the cost of re-supply

9.6 Basis of the Bargain
You acknowledge that the disclaimers and limitations of liability in this Section 9 are essential elements of the agreement between you and Kompass, and that Kompass would not provide the Services without these limitations.

10. INDEMNIFICATION
10.1 Your Indemnification Obligation
You agree to indemnify, defend, and hold harmless Kompass (Marek Lee Eberhard), its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from or related to:

Your violation of these Terms
Your violation of any law or regulation

Your Content:

Your Content or any content you post through Kompass
Infringement of intellectual property rights by Your Content
False, misleading, or defamatory content you publish

Your Social Media Activity:

Actions taken by social media platforms related to your accounts
Violations of social media platform terms or policies
Claims arising from content you published to social media
Disputes with third parties related to your social media activity

Third-Party Claims:

Claims by other users or third parties arising from your actions
Claims related to your use of third-party services through Kompass

10.2 Indemnification Process
If we seek indemnification from you:

We will provide prompt written notice of the claim
You will have the right to control the defense with our approval
We may participate in defense at our own expense
You may not settle any claim without our prior written consent
We reserve the right to assume exclusive defense at our expense


11. TERMINATION
11.1 Termination by You
You may terminate your account and stop using the Services at any time by:

Deleting your account through account settings
Contacting us at support@my-kompass.com
Ceasing to use the Services

Effect of Your Termination:

Your subscription will be cancelled (no refunds for partial periods)
You will lose access to your account and data
We will delete your personal information as described in our Privacy Policy
This Agreement will terminate except for provisions that survive

11.2 Termination by Kompass
We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including but not limited to:

Violation of these Terms
Violation of our Acceptable Use Policy
Non-payment of fees
Fraudulent, abusive, or illegal activity
Requests by law enforcement or government agencies
Extended periods of inactivity
Discontinuation of the Services

Immediate Termination:
We may immediately terminate accounts without notice in cases of:

Serious violations of these Terms
Illegal activity
Security threats
Abuse of the Services

11.3 Effect of Termination
Upon termination of your account by either party:

You must immediately stop using the Services
Any outstanding fees become immediately due
Licenses granted to you under these Terms terminate

We will make reasonable efforts to provide access to Your Content for download (30 days)
We will delete or anonymize your data as described in our Privacy Policy

No Refunds:
Termination does not entitle you to any refunds unless required by applicable law.

The following provisions survive termination:

12. DISPUTE RESOLUTION AND GOVERNING LAW
12.1 Governing Law
These Terms and any dispute or claim arising from or related to them shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to conflict of law principles.
12.2 Jurisdiction
You and Kompass agree that any dispute arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia, and you consent to personal jurisdiction in those courts.
For International Users:
If you are located outside Australia, you acknowledge that by using the Services, you are agreeing to Australian law and jurisdiction.
12.3 Informal Resolution
Before initiating formal legal proceedings, you agree to first contact us at support@my-kompass.com to attempt to resolve the dispute informally. We will make good faith efforts to resolve disputes amicably.
30-Day Negotiation Period:
Both parties agree to negotiate in good faith for at least 30 days before pursuing formal legal action.
12.4 No Class Actions
WAIVER OF CLASS ACTION RIGHTS:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
You waive any right to participate in class actions, class arbitrations, or other representative proceedings.
12.5 Small Claims Court
Notwithstanding the above, either party may bring an individual action in small claims court if the claim qualifies.
12.6 Limitation Period
You must commence any action or proceeding related to these Terms within one (1) year after the cause of action arose. After that period, such claims are permanently barred.

13. GENERAL PROVISIONS
13.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Kompass regarding the Services and supersede all prior agreements, understandings, or communications.
13.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
13.3 Waiver
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
13.4 Assignment
You may not assign, transfer, or delegate these Terms or your rights and obligations under them without our prior written consent. Any attempted assignment in violation of this provision is void.
We may assign or transfer these Terms, in whole or in part, without restriction, including to:

An affiliate or subsidiary
An acquirer of our business or assets
A successor by merger or consolidation

13.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to:

Acts of God (natural disasters, pandemics, etc.)
War, terrorism, or civil unrest
Government actions or regulations
Internet or telecommunications failures
Third-party service outages
Labor disputes or strikes
Fires, floods, or other catastrophes

13.6 Relationship of Parties
